1. What REC'D BY does

REC'D BY provides tools that may help users:

• Connect with people they know
• Discover caregivers recommended through those connections
• Maintain a household care team and organize caregiver information
• Schedule and manage care
• Communicate booking requests and responses
• Organize household and booking information
• Process certain caregiver payments
• Access third-party screening or background-check tools
• Use additional household-management functionality we may introduce

REC'D BY is a technology platform and coordination service. Unless expressly stated otherwise, REC'D BY is not a caregiver agency, staffing agency, employer, employment agency, medical provider, background-investigation company, insurer, or guarantor of any user or caregiver.

2. Who may use REC'D BY

Parent and household-owner accounts are intended for adults capable of entering into a binding agreement. Children may be included within a household profile by an authorized adult but do not create household-owner accounts. Caregiver functionality may be available to babysitters, pet sitters, house sitters, relatives, and other members of a care team. Caregivers who are minors may use caregiver functionality only where permitted by applicable law and with any parent or guardian authorization required for their circumstances. Caregiver accounts are free.

3. Accounts

You agree to provide information that is reasonably accurate and current. You are responsible for protecting your login credentials, activity conducted through your account, maintaining accurate contact information, ensuring you are authorized to provide household information you add, and promptly notifying us if you believe your account has been compromised. Do not access another user's account without authorization.

4. Household information

Household users may provide information about children, pets, homes, routines, booking locations, care instructions, and other household matters. By providing information, you represent that you have the authority to provide it for the purposes for which you use REC'D BY. You decide what information to add, subject to information required for particular features, and you are responsible for keeping important care and safety information reasonably current.

5. Connections + your village

REC'D BY allows users to create relationships with people they know and, depending on available features or membership, discover caregivers through extended connections. REC'D BY may display how a caregiver or household is connected to you. You agree not to misuse connection functionality to gain access to people or information you do not genuinely have a legitimate reason to access.

6. Recommendations + ratings

Recommendations and ratings are opinions and experiences provided by users. They are not warranties or guarantees. REC'D BY does not guarantee that a recommendation is accurate, that another family will have the same experience, that a caregiver will be appropriate for your household, that information supplied by a user or caregiver is complete, or that a caregiver will perform as expected. Unless we specifically state that information has been independently verified, you should not assume that REC'D BY has verified it. You remain responsible for evaluating the people you choose to contact, hire, invite into your home, or trust with children, pets, property, or other responsibilities.

7. Caregivers

Caregivers are responsible for providing accurate information about themselves — availability, rates, experience, services, certifications, training, service areas, and contact information. A caregiver's appearance in REC'D BY does not constitute employment, certification, licensure, endorsement, or approval by REC'D BY.

8. Care arrangements are between users

Families and caregivers decide whether to enter into a care arrangement. They are responsible for agreeing on matters such as scope of care, dates and times, location, compensation, duties, cancellations, transportation, overnight arrangements, reimbursements, house rules, and other expectations. REC'D BY does not supervise care. We are not a party to the underlying caregiving relationship merely because REC'D BY was used to discover, schedule, coordinate, or record it.

9. Bookings

REC'D BY may support different booking workflows, which may include:

• First to accept — a request may be offered to multiple caregivers, with the booking assigned according to the applicable first-acceptance rules.
• Parent selection — multiple caregivers may indicate interest or availability, after which the household selects a caregiver.
• Manual assignment— a household may record a booking arranged outside REC'D BY and manually identify the assigned caregiver.

REC'D BY may also support one-time, recurring, and multi-day bookings and different booking locations. A booking shown as confirmed helps coordinate information but does not guarantee that a caregiver will appear, that a family will proceed, or that circumstances will not change. Users are responsible for communicating changes promptly.

10. Booking locations + travel

Care may take place somewhere other than the household's primary residence — another family member's home, a vacation property, a hotel, or another appropriate care location. Users are responsible for ensuring they have the right to use the location for the contemplated care and for determining whether a caregiver is legally and practically able to provide services there. Availability of caregivers in a geographic area is not guaranteed.

11. Care information

REC'D BY may make booking-related household information available to an assigned or prospective caregiver where appropriate. Users are responsible for determining what information is necessary and appropriate to share. Caregivers agree to use private household and booking information only for legitimate purposes associated with the care relationship and not to distribute it without authorization.

12. Background checks + screening

REC'D BY may offer access to background-check, identity, credential, or other screening services. These services may be provided by third parties and may require separate authorization, disclosures, or terms. No background check is comprehensive. Records may be incomplete, inaccurate, unavailable, delayed, or associated with another person. A screening result does not guarantee that someone is safe, trustworthy, qualified, or appropriate for your family. REC'D BY does not guarantee past or future conduct. Families remain responsible for their own caregiver-selection decisions.

13. Payments

REC'D BY may allow eligible caregiver payments and tips to be processed through a third-party payment processor. Applicable processing, transaction, convenience, or other disclosed fees may apply. Payment-processing services are subject to additional terms imposed by the applicable payment provider. REC'D BY may also provide links or shortcuts to external payment services; if users choose an external payment option, payment occurs outside REC'D BY and REC'D BY is not responsible for that external transaction. Families and caregivers remain responsible for applicable taxes, reporting obligations, employment classification, reimbursement obligations, or other financial or legal responsibilities arising from their care arrangement.

14. Free features + membership

REC'D BY offers core functionality without a paid household membership. The free experience includes access to certain recommendations from direct friends, subject to the features available at the time. Additional functionality may require a paid household membership (billed monthly or annually), which may include expanded recommendations through friends of friends, extended Village functionality, scheduling and booking tools, expanded household contacts or care-team tools, background-check functionality, and other premium features. Available features may change as REC'D BY evolves. We will present applicable pricing and material membership terms before purchase.

15. Founding Village

Eligible families who join the Founding Village through January 1, 2027 receive their first year of expanded membership at no cost, subject to the terms presented when they enroll. Long-term membership pricing and features are still being finalized. Before REC'D BY charges a Founding Village household for paid membership, applicable pricing, billing, renewal, and cancellation terms will be presented as required. Receiving a complimentary membership period does not guarantee that every current or future feature will remain part of the same membership tier indefinitely. Core free functionality described by REC'D BY as remaining free will not require paid membership solely because the Founding Village period ends.

16. Membership billing + cancellation

Paid memberships, when offered, may be recurring. Before purchasing a paid recurring membership, you will be shown the applicable price, billing frequency, renewal terms, and cancellation method. Any recurring charge will be subject to the authorization and disclosures provided at the time of purchase. You may cancel renewal using the method provided for the platform through which you purchased the membership. Cancellation generally prevents future renewal and does not necessarily result in a refund for a membership period that has already begun, except where required by law or otherwise stated.

17. Donations

REC'D BY may accept optional donations to support development, hosting, maintenance, security, and continued improvement. A donation does not purchase ownership, equity, control, investment rights, or a guaranteed feature. Unless expressly stated otherwise, donations are not represented as charitable contributions or tax-deductible gifts.

18. Communications

By using REC'D BY, you may receive service-related communications necessary to operate features you request — authentication messages, invitations, booking requests, booking responses, confirmations, reminders, cancellations, security notices, and account information. Where consent is required for a particular type of communication, REC'D BY will seek it as appropriate. Marketing communications will provide applicable opt-out mechanisms.

Text messaging (SMS) terms

By providing your mobile phone number and enabling text notifications, you consent to receive text messages from REC'D BY related to your account and activity — such as booking requests, confirmations, reminders, cancellations, invitations, and security notices. Consent to receive text messages is not a condition of any purchase. Message frequency varies based on your account activity and the notification types you have enabled. Message and data rates may apply. Reply STOP to opt out of text messages at any time, or HELP for help; you can also turn individual message types on or off in your notification settings. Carriers are not liable for delayed or undelivered messages. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. 19. Acceptable use

You may not use REC'D BY to:

• Break applicable law
• Harass, threaten, stalk, or exploit another person
• Discriminate unlawfully
• Impersonate another person or commit fraud
• Create false recommendations
• Misrepresent screening or certification information
• Obtain unauthorized access to household information
• Scrape or mass-collect user data
• Send spam or unauthorized solicitation
• Distribute malware
• Interfere with service security or operation
• Use private care information for unrelated purposes
• Violate our Community Guidelines

We may restrict or terminate access for misuse.

20. User content

You retain ownership of content you create and submit, such as photographs, recommendations, profile information, and notes, subject to any rights belonging to others. You give REC'D BY permission to host, store, process, reproduce, display, and transmit that content as reasonably necessary to operate, secure, improve, and provide the Service according to your privacy settings and these Terms. This permission ends when the content is deleted from our systems, except where continued retention is reasonably necessary for legal, security, backup, fraud-prevention, dispute, or operational purposes.

21. Intellectual property

REC'D BY and its software, designs, branding, logos, text, interfaces, and other proprietary materials are owned by REC'D BY or its licensors and are protected by applicable intellectual-property laws. These Terms give you permission to use REC'D BY for its intended purpose. They do not transfer ownership of REC'D BY intellectual property to you.

22. Third-party services

REC'D BY relies on and may link to third-party services — payments, communications, authentication, hosting, maps, background checks, and external payment applications. Third parties operate under their own terms and policies. REC'D BY is not responsible for third-party services outside our reasonable control.

23. Service availability

We work to keep REC'D BY available and reliable, but no digital service operates without interruption. Features may occasionally be modified, delayed, unavailable, suspended, or discontinued. Do not rely on REC'D BY as the sole repository for emergency, life-safety, medical, or other information that must always remain immediately accessible.

24. Emergencies

REC'D BY is not an emergency-response service. If a child, caregiver, pet, or another person is in immediate danger, contact the appropriate emergency services. Do not rely on REC'D BY messaging, support, or notifications for emergency response.

25. Disclaimer

To the fullest extent permitted by applicable law, REC'D BY is provided on an “as is” and “as available” basis. We do not guarantee the conduct of users or caregivers, the accuracy of every user-supplied statement, that a caregiver is suitable for a particular household, that a recommendation will predict future performance, that background checks identify every relevant record, that a booking will be completed, or uninterrupted availability of the Service. Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.

26. Limitation of liability

To the extent permitted by applicable law, REC'D BY will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Service. Any additional limitation of liability, liability cap, indemnification provision, governing-law provision, dispute-resolution process, arbitration provision, or class-action waiver should be included only after legal review and will be incorporated into the final Terms where appropriate.

27. Suspension + termination

You may stop using REC'D BY and may request account deletion subject to applicable data-retention requirements. We may suspend or terminate access when reasonably necessary because of violations of these Terms, Community Guidelines violations, fraud, security concerns, threats to other users, legal obligations, or abuse of the Service. Where appropriate, we may provide notice or an opportunity to appeal.

28. Changes to the Service or Terms

REC'D BY will evolve. We may update these Terms as functionality, membership, laws, or business practices change. If changes are material, we may provide notice through the Service, website, email, or another reasonable method. Continued use after updated Terms take effect constitutes acceptance where permitted by law.

29. Governing law + legal terms
